2. Scope of Work

The Agency will provide digital marketing services to the Client as outlined in the scope of work (the “Scope”) agreed upon by the parties. The Scope may include services such as search engine optimization, social media management, content creation, and paid advertising.

3. Payment Terms

The Client will pay the Agency the fees outlined in the Scope within 30 days of receipt of the Agency’s invoice. Late payments will incur a penalty of 2% per month or the maximum permitted by law.

4. Intellectual Property

The Agency retains ownership of all intellectual property rights in the services provided, including but not limited to any software, code, or content created by the Agency. The Client is granted a non-exclusive license to use the services for their intended purpose.

5. Confidentiality

The Agency will keep confidential all information and data provided by the Client, and will not disclose such information to any third party without the Client’s prior written consent.

6. Termination

Either party may terminate this agreement upon 30 days’ written notice to the other party. Upon termination, the Client will pay the Agency for all services provided up to the date of termination.

7. Warranty Disclaimer

The Agency provides services on an “as is” and “as available” basis, without warranty of any kind, express or implied.

8. Limitation of Liability

In no event will the Agency be liable for any damages, including but not limited to incidental, consequential, or punitive damages, arising out of the provision of services.

9. Governing Law

These Terms will be governed by and construed in accordance with the laws of Nigeria, and any disputes will be resolved through arbitration in accordance with the rules of the Nigerian Arbitration and Conciliation Act.

10. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements or understandings.

11. Amendments

The Agency reserves the right to amend these Terms at any time, and will notify the Client of any changes by posting an updated version of the Terms on the Website.
